This Guest Release Agreement ("Agreement") is made between Zynergy Ventures, LLC and/or Zynergy Holdings, LLC ("Zynergy" or "Producer") and the undersigned guest ("Guest") in connection with their appearance on Zynergy's podcast (the “Podcast”).

Recording and Usage Rights

By signing this agreement, the Guest consents to the audio and/or video recording of their interview, conversation, likeness, name, voice, and any submitted materials, and grant Zynergy the irrevocable, worldwide, perpetual right to:

• Use, edit, publish, distribute, promote, repurpose, and monetize the recording and any derivatives in any format (including audio, video, text, and image) across all media now known or hereafter devised.
• Use the Guest’s name, likeness, company name, and professional biographical details in connection with the Podcast and its promotion, unless otherwise agreed in writing.

No Compensation

Guest agrees and understands that their participation is voluntary and that no monetary compensation or other consideration shall be due now or in the future for appearing on the Podcast or for any use of the content.

Accuracy and Integrity of Content

Guest agrees to:

• Share only truthful, accurate, and authentic stories, facts, statistics, or opinions based on personal experience or credible sources.
• Clearly identify hypothetical content with qualifying phrases such as “this is just an example”, “hypothetically”, “for instance”, etc.
• Avoid knowingly sharing misleading, defamatory, or false information.

Zynergy reserves the right to edit, exclude, or fact-check any part of the interview as deemed necessary.

Hold Harmless & Indemnification

Guest agrees to waive, release, and hold harmless Zynergy, including its members, officers, employees, contractors, affiliates, partners, and anyone involved in the production of the Podcast, from and against any and all claims, demands, losses, damages, liabilities, or expenses (including reasonable legal fees) arising from:

• Guest’s participation in the Podcast,
• Any statements made by the Guest,
• Any third-party claims relating to content, likeness, or intellectual property.

This hold harmless clause is absolute and without exception.

Content Promotion & Editorial Discretion

Zynergy retains sole and final discretion regarding:

• Whether or not to air, publish, promote, or distribute the Guest’s episode.
• Whether or not to promote the Guest’s business, product, or service.
• The final editing, formatting, and usage of the episode and any related media or excerpts.

Representation Accuracy

Zynergy will make a good-faith effort to represent the Guest and their contributions accurately and professionally, based on:

• The information provided directly by the Guest.
• Publicly available and verifiable research.

However, Zynergy makes no guarantees regarding tone, context, audience interpretation, or specific outcomes of the publication.

Ownership and Intellectual Property

All recordings, edits, transcripts, and related content remain the exclusive property of Zynergy. Guest does not have rights to edit or approve the final version but may request access for personal promotional use, subject to Zynergy's written approval.

Legal Age and Authority

Guest affirms they are:

• At least 18 years old,
• Have the full legal right and authority to enter into this agreement and grant the rights described herein.

Jurisdiction and Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Orlando, Florida, in Orange County, and the Guest hereby consents to the jurisdiction and venue of such courts.

Entire Agreement

This document constitutes the entire agreement between the parties. No oral or other statements not specifically included in this document shall be considered a part of this agreement. Any modifications must be in writing and signed by both parties.
